Smart UI Framework Personal License EULA - Pixel Perfect Studio Shop

This End-User License Agreement (“EULA”) is a legal agreement between you and Angel Hernando Hernandez Rivera, also known as TristanMX, representing Pixel Perfect Studio.
This EULA governs your acquisition and use of the Smart UI Plugin for Construct 3 (“Smart UI” or “Software”), whether obtained directly from Angel Hernando Hernandez Rivera or through authorized resellers or distributors.

1. Acceptance of the EULA

By installing, copying, or using Smart UI Plugin for Construct 3, you agree to the terms of this EULA. If you do not agree with these terms, do not install or use the Software.

If you are accepting this agreement on behalf of a company or legal entity, you confirm that you have the authority to bind that entity to these terms.

2. License Grant

Angel Hernando Hernandez Rivera grants you a personal, non-exclusive, non-transferable, limited license to use the Software under the following terms:

Permitted Uses:

Install and use the Software on devices under your control.
Use the Software to develop projects that incorporate it as part of their functionality.
Distribute projects that include the Software, as long as the Software remains compiled or minified and is not provided in a modifiable source format.

Note: Using the Software in a project does not grant ownership or additional rights over the Software itself.

Prohibited Actions:

Modify, alter, translate, adapt, decompile, disassemble, or reverse engineer the Software.
Create derivative works, sub-products, or adaptations based on the Software.
Copy, distribute, resell, or sublicense the Software, with or without modifications.
Allow third parties to use the Software without written authorization.
Use the Software in violation of local, national, or international laws.
Use the Software for any illegal activity including, but not limited to, gaming, gambling, or illegal financial transactions, in violation of applicable laws and regulations.

Any unauthorized use of Smart UI will be considered a copyright infringement and may result in legal action.

3. Intellectual Property and Copyright

The Smart UI Plugin for Construct 3 is the exclusive property of Angel Hernando Hernandez Rivera (TristanMX) and Pixel Perfect Studio.

The Software is protected by:

The Federal Copyright Law of Mexico.
The Berne Convention for the Protection of Literary and Artistic Works.
The WIPO Copyright Treaty (WCT).
The United States-Mexico-Canada Agreement (USMCA), Intellectual Property Chapter.

You do not acquire any rights to the Software except as granted by this license.

Angel Hernando Hernandez Rivera reserves the right to grant licenses to third parties.

4. Monetization of User-Created Projects

Users are allowed to monetize software products that integrate Smart UI, either directly (e.g., selling software) or indirectly (e.g., ad-supported or subscription-based models), under the following conditions:

The user must acquire a commercial license to legally monetize any project utilizing the Software.
The Software must be included in a compiled or minified form and must not be made available in a way that allows modifications or reverse engineering.
The user does not acquire any ownership or intellectual property rights over the Software beyond what is explicitly granted in this agreement.

Warning: Unauthorized monetization of projects using the Software without a commercial license may result in legal action.

5. Additional Restrictions

In addition to the prohibitions mentioned above, you are also NOT allowed to:

Use the Software in projects that compete with Smart UI.
Remove, hide, or modify copyright notices or trademarks in the Software.
Use Smart UI as a foundation for developing similar software.

Violating these restrictions may result in the immediate termination of your license.

6. License Limits Based on Annual Gross Income

The Personal Indie License is strictly available for individual developers or small teams whose annual gross income from commercial projects using Smart UI does not exceed $100,000 USD. By purchasing and activating the Personal Indie License, you agree to the following terms:

Income Threshold: You are eligible for the Personal Indie License as long as your annual gross income from projects utilizing the Software does not exceed $100,000 USD.
Reporting Obligation: You are required to notify Angel Hernando Hernandez Rivera (Pixel Perfect Studio) immediately if your annual gross income from projects using Smart UI exceeds the $100,000 USD threshold. In such cases, you will need to upgrade to the Business License or request a customized pricing plan to continue using Smart UI for commercial projects.
Verification: You may be asked to provide documentation regarding your annual gross income to verify compliance with this limit. Failure to report income exceeding this limit will result in the termination of your license and potential legal action.

Confidentiality of Financial Information:

Any financial information provided by you to verify compliance with the income limit will be handled with strict confidentiality. This information will be used solely for the purpose of verifying your eligibility for the Personal Indie License and will not be shared with third parties without your prior consent, except where required by law.

Failure to comply with these requirements may result in the immediate termination of your license and the requirement to cease use of the Software.

7. Termination of the EULA

This agreement is effective upon acceptance and remains in force until terminated in any of the following ways:

By the user: By providing written notice to Angel Hernando Hernandez Rivera.
By the owner: If the user violates any terms of this agreement.

Upon termination, you must uninstall and delete all copies of the Software.

8. Governing Law and Jurisdiction

This agreement is governed by:

The Federal Copyright Law of Mexico.
Applicable international copyright treaties, including the Berne Convention and the WIPO Copyright Treaty (WCT).

Any disputes arising from this EULA shall be resolved in the courts of Monterrey City, Nuevo Leon, Mexico.

9. Modification of the EULA

Angel Hernando Hernandez Rivera reserves the right to modify or update this EULA at any time. All modifications will be effective immediately upon posting on the official website or when updated within the software.
By continuing to use the Software after any changes to this agreement, you agree to be bound by the updated terms. It is your responsibility to review the EULA periodically to stay informed of any changes.
